Terms and Pricing

Givt B.V. ("Givt") provides a payment solution through a smartphone application and website modules, where donations can be made digitally by donors through various methods (the "Services"). Givt provides the necessary software, any necessary hardware and the mobile application linked to it (the "Products"). You acknowledge that donations made through Givt are anonymous.

These general terms and pricing are applicable to all offers, work, legal relations and agreements where Givt agrees to provide the Services, including the associated Products thereto.

During onboarding as a customer of Givt, you will digitally agree to these terms and conditions. If you do not agree to these terms and conditions, you must stop the onboarding process and refrain from using the Products and the Services. You acknowledge that acceptance of these terms will be undertaken by an authorised person, authorised to sign on your behalf. Deviations to these terms and conditions are only applicable if agreed between parties in writing.

Definitions

Givt: Givt B.V. (We / Us)

Receiving Party: the organisation using Givt's Services and Products (You / Your)

Package: the service and pricing package selected by the Receiving Party (for example Free, Basic, Plus)

Pricing Overview: the overview of fees per Package, included in Appendix 1 to these terms and conditions

PSP (Payment Service Provider): a third party contracted by Givt that acts as payment service provider and is responsible for executing and processing payment transactions between donor and recipient

Fees (excluding VAT where applicable)

The Receiving Party purchases services from Givt under a specific fee structure ("Package"). The level of fees and rates applicable to Givt's Services and Products depends on the Package selected by the Receiving Party.

The current rates per Package are included in the Pricing Overview (Appendix 1) and form an integral part of these general terms and conditions.

The fees may consist of (but are not limited to):

subscription fees

service fee (percentage of the donated amount)

transaction fees (based on the number of processed transactions)

payout fees

any one-time fees

Givt reserves the right to adjust its rates. We will notify you at least 30 days in advance.

Package Changes

A change of Package will only take effect after the Receiving Party has explicitly confirmed the change (for example via onboarding, dashboard or in writing by email). From the moment of change, the corresponding rates apply. If switching to a lower-priced package, the current package remains in effect until the end of the ongoing contract term; thereafter, the new package will take effect.

Services

We will provide you with technical support and access to our online dashboard (accessible via common internet browsers), enabling you to collect donations, view collected donations, and obtain reports. Transaction data will be processed by Givt and forwarded to the PSP (see further explanation below), which handles the payment processing. Givt will arrange the payout of donations received by your organisation in accordance with the selected package, whereby the payable amounts will be reduced by the costs agreed under that package.

The content of the Services, included functionalities and any service levels may differ per Package and may be described on the website, in the dashboard or in separate appendices.

Products

We guarantee the proper functioning of the Products supplied by us. We will do everything reasonably expected of us and provide all necessary cooperation. All Products delivered to you remain at all times our property or that of our (sub)suppliers.

It is not permitted to graphically modify the QR codes provided, as they must clearly remain recognizable as Givt QR codes for reliability and trust toward donors.

If hardware is provided, you are required to store and handle the Products with due care. We will repair or replace hardware Products free of charge unless it is determined that the Products have been misused (for purposes other than intended) or handled without proper care. In such cases, Givt may terminate the cooperation. In that event, the provisions under "Term and Termination" shall also apply.

Payment Service Provider (PSP)

Givt is not a bank or financial institution and does not provide banking or payment processing services. To provide the Services, we have entered into agreements with payment service providers (the "PSP"). The PSP will initiate payment transactions and collect and transfer payments. Givt is responsible for managing and overseeing this process. Once a donation (or reversal) is processed, we will update your information in the online dashboard.

The Receiving Party agrees that Givt may share transaction data with the PSP, along with all other necessary account and personal information of the Receiving Party, to enable the PSP to initiate and process payment transactions.

The Receiving Party agrees that transaction data may be anonymized and used for data collection, statistical overviews and comparisons. Aggregated totals will be shared with the Receiving Party, and Givt ensures that no data can be traced back to the Receiving Party's donors. Only if the Receiving Party chooses to request that donors waive anonymity and the donor explicitly consents, will Givt share donor data with the Receiving Party. Activating this functionality requires acceptance of specific terms regarding this data sharing.

Payments, Refunds and Chargebacks

Givt will transfer all donations made to you to your bank account after receipt by the PSP. The amount transferred to the Receiving Party equals the total transaction amount minus all fees, chargebacks and any corrections combined. Payout frequency, any threshold amounts and payout fees depend on the selected Package.

You hereby grant us authorization to deduct any amounts owed to us and any chargebacks received from the donations before transferring them to you.

You acknowledge that a donor may at any time, within the timeframes applied by the donor's bank, reverse a payment. Chargebacks will be offset against other donations processed by Givt on your behalf.

If the collected (not yet remitted) funds are insufficient to cover a chargeback, you must, upon our request, reimburse the amount of the chargeback and any additional costs. This will be processed via Givt. We will send you a repayment request. You have five working days to confirm receipt of the request and 30 days to complete repayment.

Liability

We make every effort to ensure that donations your donors wish to make are successfully collected. All funds actually received will be paid out to you via the PSP. However, there is no guarantee of receipt of a donation, for example if a donor aborts the transaction prematurely, the direct debit fails, or the donor executes a chargeback. It is then up to the donor to decide whether to donate again.

For other cases of liability arising from the cooperation, liability shall not exceed the total amount of fees paid during the two (2) months immediately preceding the event. This limitation does not apply to funds actually received, for which the PSP and Givt are fully responsible for remittance to you.

Our total liability regarding physical Products is limited to replacement thereof. We are not liable for indirect damages, including but not limited to loss of revenue or non-receipt of donations.

Reputational Damage

If an incident occurs that could lead to reputational damage to your organisation as a result of the cooperation with Givt, it is important that you can quickly terminate your connection with Givt. If you notify us that you wish to terminate the cooperation due to risk of reputational damage, an expedited procedure will apply, provided there is legitimate cause. Specifically, your organisation's listing in the app and on the website will be removed within one day. The standard 30-day processing period under "Term and Termination" will not apply. However, the 100-day period mentioned there for processing all transactions and mutations remains applicable, as this is legally required and does not result in reputational damage.

Reputational damage to Givt caused by an incident on your side may lead to the same expedited termination and will be communicated to your organisation, with the possibility to object.

Term and Termination

This cooperation is entered into for an indefinite period unless terminated by either party.

You may terminate the cooperation at any time after the contract term applicable to your selected Package has ended. Upon termination, there is a 30-day period during which the Receiving Party will be removed from the system and the app (unless reputational damage applies as described above).

Upon termination, you must return any hardware Products and cease using the Services. If hardware Products are not returned within thirty (30) days after termination, Givt is entitled to charge replacement costs (EUR 100 per transmitter).

Any outstanding amounts must be paid as soon as possible. Donations received before the termination date will still be processed and transferred to you. You remain liable after termination for any chargebacks of funds already transferred to you.

Other Provisions

Any disputes arising out of or in connection with these terms shall be finally settled by the court of Lelystad (or any successor court designated by the government). Before submitting the dispute to court, both parties shall make efforts to resolve the dispute amicably. These terms are governed by and interpreted in accordance with Dutch law.

Givt may amend its general terms and conditions. If you do not agree with the amendment, you have the right to terminate the agreement.

Onboarding

Before you can receive payout of collected funds, Givt must register you with the PSP. As a financial institution, the PSP is legally required to identify and verify its customers. You must therefore provide certain information and demonstrate, by means of a bank statement copy, that the bank account to which payouts are to be made belongs to the Receiving Party registered with Givt. In some cases, additional information or documentation may be required, and you must cooperate to enable payout of collected funds.

By providing your bank account details and submitting a copy of your bank statement, you consent to donations received through the Givt system being transferred to this account.
